Risk Disclosure
Introduction
This Risk Disclosure is provided by Coin Pro to assist customers in understanding the risks associated with buying, selling, transferring, and holding crypto assets.
Crypto assets involve a high degree of risk and may not be suitable for all individuals. Before using Coin Pro services, you should carefully consider your financial circumstances, investment objectives, level of experience, and risk tolerance. By using Coin Pro services, you acknowledge that you have read, understood, and accepted the risks described in this document.
No Financial Advice
Coin Pro provides crypto asset exchange and settlement services only. Coin Pro does not provide financial, investment, legal, accounting, or tax advice and does not make recommendations regarding the purchase, sale, or holding of any crypto asset. Any decision to enter into a transaction is made solely by the customer. Customers are responsible for independently assessing the suitability of any transaction and should seek professional advice where appropriate.
Volatility and Market Risk
Crypto assets are highly volatile and their value may rise or fall significantly within short periods of time. Market prices can be influenced by numerous factors, including market sentiment, liquidity conditions, technological developments, economic events, regulatory changes, media coverage, and trading activity. As a result, customers may experience substantial losses, including the loss of their entire investment. Past performance is not indicative of future results, and Coin Pro makes no representation regarding the future value or performance of any crypto asset.
Liquidity Risk
The ability to buy or sell crypto assets depends on the availability of counterparties and liquidity within the relevant market. During periods of market stress, volatility, reduced trading activity, or technical disruptions, liquidity may decrease significantly. This may result in delays in execution, reduced availability of certain assets, or execution at prices that differ from quoted prices. Coin Pro cannot guarantee that any crypto asset will remain liquid or tradable at all times.
Regulatory and Legal Risk
The legal and regulatory treatment of crypto assets continues to evolve both within South Africa and internationally. Future laws, regulations, directives, regulatory guidance, court decisions, or government actions may affect the availability, transferability, taxation, value, or legality of crypto assets and related services. Coin Pro may be required to modify, restrict, delay, suspend, monitor, report, or discontinue certain services in order to comply with applicable legal or regulatory obligations. Such actions may occur without prior notice where required by law.
Transaction Risk
Crypto asset transactions are generally irreversible once confirmed on a blockchain network. If crypto assets are sent to an incorrect wallet address, transmitted using an incorrect blockchain network, or transferred based on inaccurate instructions, the assets may be permanently lost. Customers are solely responsible for verifying wallet addresses, banking details, transaction amounts, and other transaction information before authorising any transaction. Coin Pro cannot reverse completed blockchain transactions and accepts no responsibility for losses arising from customer error.
Wallet and Private Key Risk
Control of crypto assets is typically dependent upon possession of private keys, recovery phrases, passwords, and wallet credentials. Loss, theft, compromise, or unauthorised disclosure of these credentials may result in the permanent loss of access to crypto assets. Customers are solely responsible for safeguarding their wallets, devices, recovery phrases, private keys, and account credentials. Coin Pro does not have access to customer private keys and cannot recover lost credentials or restore access to external wallets.
Cybersecurity and Technology Risk
Crypto asset platforms, blockchain networks, wallets, and related technologies may be subject to hacking, phishing attacks, malware, social engineering, distributed denial-of-service attacks, software vulnerabilities, and other cybersecurity threats. Although Coin Pro maintains security measures designed to protect its systems and operations, no technology platform can eliminate all risks. Security incidents, technical failures, or service disruptions may affect transaction processing, account access, or service availability.
Blockchain and Network Risk
Blockchain networks may experience congestion, forks, protocol changes, software defects, validator failures, smart contract vulnerabilities, or other technical issues. Such events may cause delays, failed transactions, unexpected outcomes, or changes to the functionality and value of crypto assets. Coin Pro does not control blockchain networks and cannot guarantee the performance, security, or ongoing availability of any blockchain or digital asset protocol.
Counterparty and Third-Party Risk
Coin Pro relies on banking institutions, payment providers, liquidity providers, blockchain infrastructure providers, wallet verification providers, identity verification providers, and other third-party service providers in order to operate its services. Operational failures, insolvency events, regulatory actions, technical disruptions, cyber incidents, or service interruptions affecting any third party may impact Coin Pro's ability to process transactions or provide services. Certain events may occur outside Coin Pro's control and may result in delays, restrictions, or temporary suspension of services.
Fiat Settlement Risk
Coin Pro facilitates both fiat-to-crypto and crypto-to-fiat transactions. Settlement of fiat transactions depends upon the availability and operation of banking systems and payment service providers. Bank processing delays, compliance reviews, payment investigations, technical failures, or regulatory requirements may affect the timing of deposits, withdrawals, and settlements. Coin Pro cannot guarantee processing times for transactions that depend on third-party banking infrastructure.
Compliance and Financial Crime Risk
Coin Pro is required to comply with anti-money laundering, counter-terrorist financing, sanctions, proliferation financing, and Travel Rule obligations. As part of these obligations, Coin Pro may request additional information, documentation, or verification from customers before processing transactions. Coin Pro may delay, suspend, reject, restrict, freeze, monitor, investigate, or report transactions where required by law, regulation, regulatory instruction, or internal compliance procedures. Such actions may occur without prior notice where legally permitted or required.
No Guarantees
Crypto assets are not legal tender and are generally not backed by any government, central bank, or other public authority. Crypto assets are not covered by government deposit insurance schemes and may lose value entirely. Coin Pro does not guarantee the future value, market acceptance, liquidity, performance, or continued availability of any crypto asset. Coin Pro does not guarantee profits or protection against losses.
Tax Considerations
Transactions involving crypto assets may have tax consequences. Customers are solely responsible for understanding, calculating, reporting, and paying any taxes that may arise from their activities. Coin Pro does not provide tax advice and recommends that customers consult qualified tax professionals where necessary.
Customer Responsibility
Customers should only engage in crypto asset transactions if they fully understand the associated risks and have sufficient knowledge, experience, and financial resources to bear potential losses. Customers are responsible for conducting their own research and ensuring that crypto asset transactions are appropriate for their personal circumstances.
Limitation of Liability
To the fullest extent permitted by applicable law, Coin Pro shall not be liable for losses arising from market movements, price volatility, blockchain failures, network congestion, regulatory actions, cybersecurity incidents, customer errors, loss of wallet credentials, third-party service provider failures, or any event outside Coin Pro's reasonable control.

Coin Pro may amend this Risk Disclosure from time to time to reflect changes in applicable laws, regulations, industry practices, technology, or business operations. The latest version will be made available on the Coin Pro website.
